Who convenes meetings of the board?
Commercial Code does not specify rules for the convening or holding meetings of the board, such as their frequency, location of meeting, the person empowered to convene, the mode and convening date. Such rules may, however, be determined by agreement or in the rules of the company's board of directors.
The Rules of the board can be freely determined, how often will run board meetings, eg once a month or once a week in a fixed, arbitrarily chosen date. Dates of meetings of the board should be specified in such a way that it is possible to properly notice the members of the board (indicating the date, time and place). Notice of the meeting of the board should reach out to board members in advance, earlier than the date in which the meeting is being held.
Rules Board should determine who in the limited liability company is authorized to convene meetings. In practice the Chairman of the Board shall convene meetings of the Board and the Board indicates its rules as qualified to do so. Regulations of the Board should indicate the way to inform board members of the board meeting.
ksh provisions do not specify the mode of convening meetings of the board, but only say that the resolutions of the Board may be taken if all members have been duly notified of the meeting. Therefore, the manner of convening the meeting of the board members of the Board may be any, it is only that it is defined in the Rules of the Board and enforced by the person calling the meeting.
